Settlement: Closing a Dispute Without a Verdict
In litigation, a settlement is an agreement by which the parties resolve a dispute, normally in exchange for payment or other consideration, without a judgment on the merits. In the United States, the great majority of civil cases end this way. The usual Spanish equivalents are acuerdo transaccional or transacción, although “settlement” has other meanings you will meet in practice.
Four meanings to keep apart
• Settlement agreement: the contract that ends the dispute.
• Settlement (the payment): “They received a $50,000 settlement.”
• Settlement (real estate): in some states, the closing of a property purchase (cierre).
• Settlement of an estate: the administration and wrapping up of a decedent’s affairs.
Typical terms
• Payment amount and schedule.
• Release of claims: the claimant gives up the claims described in the agreement.
• No admission of liability: paying does not mean the paying party concedes fault.
• Confidentiality and non-disparagement provisions, where agreed.
• Dismissal with prejudice: the claims cannot be filed again.
• Allocation of attorney’s fees, costs, and tax responsibilities.
The US procedural context
Courts encourage settlement through mediation and settlement conferences. Under Federal Rule of Evidence 408, offers and statements made in compromise negotiations generally cannot be used to prove liability. Under Federal Rule of Civil Procedure 68, a defendant’s offer of judgment can shift post-offer costs to a plaintiff who later wins less. Settlements of class actions and of claims by minors normally require court approval. A private settlement is enforced as a contract; if the parties convert it into a consent judgment, the court can enforce it directly.
SAMPLE LANGUAGE
“In consideration of the payment described in Section 2, Plaintiff releases and forever discharges Defendant from all claims arising out of the Incident. This Agreement is a compromise of disputed claims and is not an admission of liability by any party.”
Common mistakes
• Translating “settlement” as asentamiento. It is a false friend in this context.
• Using transacción alone in a mixed audience. In business Spanish it can also mean an ordinary commercial transaction.
• Forgetting to specify whether the dismissal is with or without prejudice.
• Drafting a release that is too narrow, leaving related claims alive, or so broad that it could be challenged.
• Confusing a settlement with a judgment. A private settlement does not create a court order unless the court enters one.

• Pago: monto y calendario.
“In consideration of the payment described in Section 2, Plaintiff releases and forever discharges Defendant from all claims arising out of the Incident. This Agreement is a compromise of disputed claims and is not an admission of liability by any party.”
• Olvidar precisar si el desistimiento es with o without prejudice.
