Arbitration: Private Justice, American Style
Arbitration is a private process in which the parties submit a dispute to one or more neutral decision-makers, the arbitrators, whose decision, the award, is generally final and enforceable in court. In the United States, arbitration clauses appear in everything from commercial contracts to employment agreements and consumer terms of service, so understanding the term is essential for any practitioner who reads US contracts.
How it differs from litigation and mediation
• Litigation: a public court case decided by a judge or jury, with broad appeal rights.
• Arbitration: a private proceeding; the decision is made by an arbitrator or panel and can be appealed only on very narrow grounds.
• Mediation: a neutral helps the parties negotiate, but does not decide the case. A mediator imposes nothing.
Binding and non-binding arbitration
In binding arbitration, the award is final and a court can enforce it as a judgment. In non-binding arbitration, the award is advisory. When a US contract simply says “arbitration,” courts and institutions generally treat it as binding, so non-binding arbitration should be stated expressly.
The legal framework
The Federal Arbitration Act (FAA), 9 U.S.C. § 1 et seq., reflects a strong federal policy in favor of enforcing arbitration agreements, and it applies to contracts involving interstate commerce. States also have arbitration statutes, many based on the Uniform Arbitration Act. For international disputes, the New York Convention on the Recognition and Enforcement of Foreign Arbitral Awards, to which the United States is a party, is implemented through Chapter 2 of the FAA.
Courts review awards very narrowly. Under the FAA, vacatur is limited to grounds such as corruption, fraud, evident partiality, arbitrator misconduct, or an arbitrator exceeding their powers. A court does not re-decide the merits. Arbitration agreements can still be challenged on ordinary contract grounds, including unconscionability, and certain claims are carved out by statute; for example, Congress excluded sexual assault and sexual harassment disputes from forced pre-dispute arbitration in 2022.
In many consumer and employment contracts, the arbitration clause includes a class action waiver, and the US Supreme Court has generally enforced those waivers under the FAA.
SAMPLE LANGUAGE
“Any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The seat of arbitration shall be Miami, Florida. Judgment on the award may be entered in any court of competent jurisdiction.”
Institutions you will meet
• AAA / ICDR: the American Arbitration Association and its International Centre for Dispute Resolution.
• JAMS: a major US provider of arbitration and mediation.
• ICC: the International Chamber of Commerce, in Paris, frequently chosen in cross-border deals.
Common mistakes
• Using “arbiter” for “arbitrator.” The standard term in practice is arbitrator.
• Translating laudo as “ruling” or “verdict.” Use award; a “verdict” comes from a jury.
• Writing a vague clause that does not identify the rules, the seat, the number of arbitrators, or the language.
• Assuming an arbitration clause is automatically unenforceable because one party is a consumer or an employee. Enforceability depends on the contract, the claim, and the governing law.

Arbitraje vinculante y no vinculante

The seat of arbitration shall be Miami, Florida. Judgment on the award may be entered in any court of competent jurisdiction.”
